How are Multiplus shares transferred and dividends paid?

Multiplus shares are held in registered bookentry form, using the bookentry form services of Banco Itaú S.A., as custodian. Transfer of the Company shares is carried out by means of an entry in their books, by debiting the share account of the transferor and crediting the share account of the transferee.

Transfer of shares by a foreign investor are made in the same way and executed by the investor’s local agent on the investor’s behalf except that, if the original investment was registered with the Central Bank pursuant to foreign investment regulations, the foreign investor should also seek amendment, if necessary, through its local agent, of the Certificate of Registration to reflect the new ownership.

The São Paulo Stock Exchange operates a central and fungible clearing system through the CBLC. A holder of Multiplus’ preferred shares may choose, at its discretion, to participate in these systems and all shares elected to be put into the systems will be deposited in custody with the relevant stock exchange (through a Brazilian institution that is duly authorized to operate by the Central Bank and maintains a clearing account with the relevant stock exchange). The fact that such shares are subject to custody with the relevant stock exchange will be reflected in the Company’s registry of shareholders. Each participating shareholder will, in turn, be registered in Multiplus’ register of beneficial shareholders that is maintained by the relevant stock exchange and will be treated in the same way as registered shareholders.

How does Multiplus’ shareholder may check his/her holding?

The holding may be requested at the Investor Service Center or at any of the branches of Banco Itaú. This information will be provided exclusively:

  • to shareholder, himself/herself, by showing his/her identity card (RG) and individual taxpayer’s register (CPF); or
  • to the attorney-in-fact duly qualified, with Public Power of Attorney, Identity Card and CPF.

Who Multiplus’ shareholder must contact in case of registry alteration?

The shareholder regularly receives information by mail on his/her shareholding and rights. In this regard, it is essential to maintain the shareholder’s registration form always updated at the Depositary Institution of Multiplus’ shares- Banco Itaú S.A.

Alterations to the registration form may be made at any of the branches of Banco Itaú, or at Investor Service Centers, by showing the Identity Card, CPF and document confirming residence.

How can I participate in the annual general meeting?

The Annual General Meeting must be held up to four months after the end of the year, aiming at approving accounts, allocating profit and electing the Board of Directors.
